Section 1 : Partner commitment

The partner undertakes to actively promote the school management application of GANALIS in schools in Cameroon. He undertakes to use the documents provided by GANALIS, such as flyers, the catalog of the application, the presentation video of the application, and the application itself, only within the framework of its activities of promotion of the application and signing of contracts with interested schools. The partner undertakes not to use these documents for personal purposes or for the promotion of other products or services, even less not to SELL the Ganalis School application without the prior written consent of GANALIS.

Section 2 : Annual fee
If the partner succeeds in obtaining the signature of a contract between GANALIS and a school interested in the school management application, the company agrees to pay a commission each time the license is renewed by the client to the partner for a period of 5 years. The commission will be calculated according to the category of the school, specifically the number of students enrolled. The
commission amount will vary between 20 000 XAF and 100 000 XAF per year,

The commission will be paid to the partner each year, from the date of signing the contract with the school concerned, for a period of 5 years. Payments will be made within 30 days of the date the contract is signed.

Section 3 : Other commitments
The parties agree to cooperate closely and to keep each other informed of the progress made within the framework of this partnership. The partner undertakes to provide to GANALIS regular reports on its promotional activities, including schools contacted, contracts signed and results achieved. The company is committed to providing all necessary support to the partner, including additional marketing resources, training and application updates, to ensure the success of this partnership.

Section 4: Duration of the contract
This partnership agreement between GANALIS and the partner will enter into force on the date of signature and will remain in force for a period of 5 years. Insofar as a customer ceases to pay for the license, the partner loses its automatic rights on the latter.

The partner can also carry out loyalty actions with its customers to ensure that they renew their license each year.

Section 5 : Privacy
The parties undertake to treat as confidential all information, documents and information received or obtained within the framework of this partnership, whether verbal, written or electronic. Neither party will disclose such confidential information to third parties without the prior written consent of the other party, except as necessary for the performance of this contract or as required by law.

Section 6: Applicable law and settlement of disputes
This contract will be governed and interpreted in accordance with the laws in force in Cameroon. Any dispute arising from this contract will be subject to the exclusive jurisdiction of the competent courts of the city of Yaoundé – Cameroon.
