1. DEFINITIONS
Each of the expressions mentioned below, whether used in the singular or in the plural, shall have the following meaning here in:
- Solution : designates the school management software Canalis School;
- Ganalis : designates the company Ganalis SAS, owner of the solution;
- Client : désigne tout établissement scolaire à qui Ganalis a concédé des droits d’utilisation sur la solution.
- Anomaly : refers to any defect, malfunction, non-compliance with specifications made public by Ganalis, incident of all or part of the Solution;
- Update : designates the modification(s) proposed and made by Ganalis to the Solution, for the purpose of correcting anomaly, development, preventive measure within the framework of a service maintenance or support;
- Education cycle designates either primary (nursery included) or secondary.
2. OBJECT
This document governs the use of the Ganalis School application by schools. It describes the services offered as well as the terms of supply and use of these services.
3. DESCRIPTION OF GANALIS SCHOOL
Ganalis School is an all-in-one software for the daily management of your educational school developed by the company Ganalis . Best management solution for bilingual, English-speaking and French-speaking nursery, primary and secondary schools ; Ganalis School offers a set of features allowing institutions to manage academic activities more efficiently. These include, among others:
- pupil registration ;
- payment of registration fees, tuition fees and other miscellaneous fees;
- the configuration of the school (recording information about the school, editing sections , classes, etc.) ;
- the generation of registration numbers;
- the generation of various academic documents (school report cards, school maps, subject reports, class council reports , honor rolls and many others) ;
- teacher and user management;
- management of grades and evaluations;
- management of aspects and skills in accordance with the needs of the APC;
- the generation of certificates of effective presence and service;
- the generation of statistical documents for the school;
- etc.
4. LICENSE AND RIGHT OF USE
Ganalis School application is distributed to its customers through an annual or multi-year user license and not transferable by the customer . The costs of acquiring the license are distributed according to the school's workforce as indicated in the cost table attached in the appendix. All the prices invoiced to the Customer are those in force on the day of registration of the order or renewal of the license.
A license gives the right to use the solution to a single customer, for a single education cycle (nursery and primary or secondary) and for all sections of this cycle.
The right of use is only granted upon full payment of the price of the solution.
The Customer is prohibited from assigning, supplying, lending, renting the Solution, granting sublicenses or other rights, or more generally communicating all or part of the Solution to a third party.
The Client undertakes not to make any alteration, correction, arrangement, translation or modification of the Solution. The Client is also prohibited from having any defects in the Solution corrected without the prior written consent of Ganalis.
The license is valid for twelve (12) months from its activation by the customer. Thirty (30) days before the license expires, the Customer is informed via the solution.
The license may be renewed by the Customer, upon payment of the related costs. An invoice will then be issued to him for this purpose.
Unless otherwise provided, incidental costs that may be incurred by Ganalis at the Customer's request, such as in particular the supply of additional documentation or the installation or reinstallation of the Solution will be invoiced in addition to the Ganalis rates in effect on the day of the customer request.
NB: The school can use the application free of charge for a period of three (3) months in order to test and verify whether it perfectly meets its needs. After this period, you will need to purchase the license to continue to benefit from the application's functionalities.
5. INSTALLATION AND TRAINING
When subscribing to a Ganalis School license, the application will be installed on the customer's premises free of charge, with a predefined database already containing basic information to facilitate configuration of the solution by the Customer. This includes information on sections, classes, subjects, official languages of Cameroon as well as Regional and Departmental Delegations in English and French.
The customer will also benefit from free training for its teaching and administrative staff at the time of installation. Any other training requested by the Client after installation will be invoiced to him by Ganalis.
6. TECHNICAL SUPPORT AND ASSISTANCE
Once the cost of the license to use Ganalis School has been paid, the Customer benefits from free online technical assistance. In the event that the Customer requests face-to-face assistance, additional costs may apply. The Customer does not acquire any rights to the source codes of the Solution, Ganalis alone reserves the right to modify them to correct any defects or to develop the Solution.
7. GUARANTEES
Ganalis undertakes to correct, free of charge, any Anomaly which occurs during the use of Ganalis School by the Client. This warranty only applies when the Customer has a valid license. Ganalis guarantees that the Solution substantially complies with the functionalities described in the documentation accessible via the url https://school.ganalis.com/ .
8. CUSTOMER RESPONSIBILITIES
The Customer is responsible for the use he makes of the application. Ganalis declines all responsibility for technical failures: hardware failures, viruses, software defects which at some point could prevent the Solution from operating normally. The customer must ensure the proper functioning of the hardware and software of the computer hosting the Solution.
The civil liability of Ganalis can only be engaged by its act, or that of its collaborators in the case of acts performed, by it or by them, within the framework of the execution of the contract and for the sole case where a causal link will be established between the alleged damage and gross negligence on the part of Ganalis.
Ganalis cannot under any circumstances be held liable to the Customer, for any reason whatsoever, for any indirect damages, whatever they may be, and in particular for any loss of data, commercial damage, increase in overheads, loss of turnover or profit, loss of Customers, loss of an opportunity, in relation to or which would come from the Solution, its operation, even if Ganalis has been warned of the possibility of such a loss or such damage, as well as damage to persons or property separate from the subject matter here of.
9.DATA PRIVACY
The data generated (personal data of pupils, teachers and staff of your school, etc.) during your use by Ganalis School is kept confidential by you and stored in a server belonging to you. Ganalis may only have access to this data to carry out maintenance work or develop new functionalities.
10. INTELLECTUAL PROPERTY
Ganalis School as school management software is the private property of Ganalis . The granting of the right to use the Solution does not entail the transfer of any property rights. The customer is not authorized to reproduce, copy, modify or distribute the application in any form whatsoever without the prior written consent of Ganalis .
The Documentation is and remains the sole and exclusive property of Ganalis. The Client is prohibited from reproducing the Documentation without the prior written consent of Ganalis. The Customer agrees not to make any use of these documents that could harm Ganalis or infringe its industrial or intellectual property rights, and refrains from any disclosure to third parties.

11. CHANGES TO TERMS
These general conditions may be modified by the company Ganalis from time to time . Changes will be published on our website and notified to the customer.
